BUYER TERMS OF SERVICE

Effective date: 1 January 2026

These Buyer Terms of Service (“Terms”) apply when you use DELLI via www.delli.market and/or www.delli.com (together, the “Platform”).

By using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.

1. WHAT DELLI IS (AND IS NOT)

1.1 What DELLI is

DELLI operates an online discovery and routing platform that helps you discover independent food and drink makers (“Makers”), browse their products, and connect with them.

We curate collections, showcase Makers, and provide information to help you explore products.

1.2 What DELLI is not

DELLI does not:

  • sell products
  • manufacture products
  • store or handle stock
  • fulfil or deliver orders
  • inspect or approve products
  • guarantee product quality, safety, availability, or suitability

From 1 January 2026, all purchases are completed directly with Makers under the Maker’s own terms.

1.3 Who we are

The Platform is operated by DELLI Limited (“DELLI”, “we”, “us”).

2. YOUR RELATIONSHIP WITH DELLI

2.1 Scope of these Terms

These Terms govern your use of the Platform only. They do not govern any purchase you make from a Maker.

2.2 Purchases from Makers

If you choose to buy a product:

  • your contract is directly with the Maker
  • the Maker sets the price, terms, delivery and refund policy
  • DELLI is not a party to the sale contract

2.3 Changes to these Terms

We may update these Terms from time to time. The latest version will always be available on the Platform. Where changes are material, we will take reasonable steps to notify you.

3.2 Contacting you

We may contact you using details you provide to us or via the Platform.

4. PRIVACY AND DATA SHARING

4.1 Your privacy matters to us. Please read our Privacy Policy to understand how we handle personal data.

4.2 Purchases on Maker websites. When you are redirected to a Maker's website to complete a purchase, the Maker will collect and process your personal information (including payment details, delivery address, and contact information) under the Maker's own privacy policy and terms.

4.3 DELLI's role. DELLI does not collect payment information or order details for purchases made on Maker websites from 1 January 2026. Your relationship regarding those purchases is directly with the Maker.

5. IMPORTANT INFORMATION ABOUT PRODUCTS AND MAKERS

5.1 Makers are responsible

Makers are responsible for:

  • product descriptions and images
  • ingredients and allergen information
  • labelling and legal compliance
  • pricing and availability
  • fulfilment, delivery and packaging
  • customer service, refunds and complaints

5.2 No product assurances

DELLI does not regularly inspect, test, verify or approve products and does not provide assurances about:

  • product quality or safety
  • accuracy of Maker information
  • suitability for dietary needs

You should review product information carefully and contact the Maker directly with any questions.

5.3 Delivery and shipments

Products are delivered by Makers or their chosen delivery partners.

If you buy from multiple Makers, your items will usually arrive separately, and separate delivery charges may apply.

6. HOW SHOPPING WORKS (CONSUMERS)

6.1 Browsing

You can browse Maker profiles, product listings and collections on the Platform.

6.2 Checkout

When you choose to buy, you will be redirected to the Maker’s website to complete your purchase.

6.3 Payments

From 1 January 2026, payments are processed by the Maker (or the Maker’s payment provider).

DELLI does not collect or process payment for consumer purchases made after this date.

6.4 Customer service

For orders placed on Maker websites from 1 January 2026, the Maker is responsible for:

  • order fulfilment
  • delivery updates
  • refunds and returns
  • complaints and issues

7. ORDERS PLACED BEFORE 1 JANUARY 2026

7.1 Pre-switch orders

Orders placed on or before 31 December 2025 were handled under DELLI’s previous checkout and fulfilment model. DELLI remains responsible for those orders.

8. PAST ORDERS AND RECORDS

8.1 Visibility of past orders

Past orders may not appear in the Platform after the model change.

8.2 Accessing records

If you need information about a pre-switch order (e.g. receipt or confirmation), contact support@delli.market and we’ll assist where reasonably possible.

9. AGE-RESTRICTED PRODUCTS

Some products may be age-restricted. Makers are responsible for age-verification and compliance with applicable laws. You may be asked to confirm your age at checkout or delivery.

10. USING THE PLATFORM

10.1 Access and accuracy

If we offer accounts or features, you must provide accurate information and keep it up to date.

10.2 Acceptable use

You must not misuse the Platform, including by:

  • scraping content or data
  • interfering with platform functionality
  • using automated tools without permission

10.3 Suspension

We may suspend or restrict access where you breach these Terms or misuse the Platform.

11. THIRD-PARTY AND MAKER WEBSITES

The Platform links to Maker and third-party websites.

DELLI does not control and is not responsible for those sites, their content, or their terms.

12. PLATFORM CHANGES

We may update, modify or discontinue parts of the Platform (including apps or features) over time. The Platform may continue via web even if an app is discontinued.

13. LIABILITY

13.1 No exclusion of mandatory rights

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for fraud or death or personal injury caused by negligence.

13.2 Platform availability

The Platform is provided on an “as available” basis. We do not guarantee uninterrupted or error-free operation.

13.3 Liability cap

To the extent permitted by law, DELLI’s total liability to you arising from use of the Platform is limited to £100, or the amount you paid to DELLI in the previous 12 months (if any), whichever is higher.

13.4 Maker responsibility

DELLI is not liable for:

  • products sold by Makers
  • Maker fulfilment or delivery
  • Maker refunds or disputes
  • Maker compliance with laws

14. GOVERNING LAW

These Terms are governed by the laws of England and Wales.

Nothing in these Terms affects mandatory consumer protections that apply to you.

BUSINESS BUYER TERMS OF SERVICE

Effective date: 1 January 2026

These Business Buyer Terms of Service (“Terms”) apply when you place orders via the DELLI platform at www.delli.market and/or www.delli.com (the “Platform”) as a business buyer (“Retailer”, “you”).

By placing an order through the Platform, you confirm that you are acting in the course of business and agree to these Terms.

1. WHAT DELLI IS (AND IS NOT)

1.1 Role of DELLI

DELLI operates a business-to-business marketplace platform that enables Retailers to discover products from independent makers (“Makers”), submit orders, and complete checkout through the Platform.

DELLI facilitates checkout and payment processing as an intermediary only.

1.2 What DELLI does not do

DELLI does not:

  • sell products
  • manufacture products
  • store or fulfil orders
  • deliver products
  • inspect or approve product safety
  • act as the seller of record

The contract of sale is always between the Retailer and the Maker.

2. ELIGIBILITY AND BUSINESS STATUS

2.1 You confirm that you are a business customer purchasing products for resale or business use and not as a consumer.

2.2 You are responsible for ensuring you have authority to place orders on behalf of your business.

2.3 DELLI may require you to provide business information as part of onboarding. DELLI does not verify creditworthiness or guarantee the legitimacy of Makers or Retailers.

3. ORDERS AND CONTRACT FORMATION

3.1 Product listings on the Platform are invitations to trade from Makers.

3.2 When you place an order through the Platform:

  • your order constitutes an offer to purchase from the Maker
  • the Maker may accept or reject the order
  • a binding contract is formed only between you and the Maker once the Maker accepts the order

3.3 DELLI is not a party to the contract of sale.

4. PRICING, TAX AND INVOICING

4.1 Prices are set by Makers and shown exclusive or inclusive of VAT as stated at checkout.

4.2 Makers are responsible for:

  • issuing VAT invoices (where applicable)
  • applying correct VAT treatment
  • complying with all tax obligations

4.3 DELLI does not issue invoices for goods.

5. CHECKOUT AND PAYMENTS

5.1 Payment processing

DELLI facilitates payment collection on behalf of Makers. Payments are collected at checkout via DELLI’s payment service providers.

5.2 Payment authorisation

By completing checkout, you authorise DELLI to:

  • collect payment from you
  • hold funds temporarily
  • remit funds to the Maker in accordance with DELLI’s settlement process
  • deduct applicable processing fees (currently 3.8% on B2B orders)

5.3 Settlement timing

Payment is remitted to the Maker following Maker confirmation of fulfilment, and in accordance with DELLI’s stated payout timelines.

5.4 Fees

Processing fees and any applicable charges will be disclosed at checkout or via the Platform. DELLI may update fees prospectively with reasonable notice.

6. FULFILMENT, DELIVERY AND RISK

6.1 Makers are solely responsible for:

  • fulfilment
  • packaging
  • delivery
  • delivery timelines
  • carrier selection

6.2 Risk of loss or damage passes in accordance with the Maker’s terms.

6.3 DELLI does not guarantee delivery, lead times, or availability.

7. RETURNS, REFUNDS AND DISPUTES (B2B)

7.1 No consumer rights apply. Purchases are B2B only. Consumer cancellation or cooling-off rights do not apply.

7.2 Returns, refunds and disputes are governed by:

  • the Maker’s terms, and
  • any agreement between you and the Maker

7.3 DELLI does not:

  • decide disputes
  • approve refunds
  • issue credits

7.4 Where DELLI has remitted funds to a Maker, any dispute is strictly between you and the Maker.

7.5 Where payment has not yet been remitted, DELLI may (at its discretion) pause settlement pending resolution, but does not determine outcome.

8. PRODUCT INFORMATION AND COMPLIANCE

8.1 Makers are responsible for product descriptions, labelling, allergens, compliance and safety.

8.2 DELLI does not inspect, verify or approve products.

8.3 You are responsible for satisfying yourself that products are suitable for your business use and resale.

9. DATA SHARING AND PRIVACY

9.1 Data sharing for order fulfilment. To enable Makers to fulfil your orders, DELLI will share your business contact details with the Maker, including business name, delivery address, contact person name, email address and phone number.

9.2 Maker contact details. DELLI may also share Maker business contact details with you to enable direct communication about order fulfilment, delivery coordination, and order-related queries.

9.3 Data protection compliance. Both you and Makers are responsible for handling shared information in accordance with applicable data protection laws.

10. PLATFORM USE

10.1 You must use the Platform lawfully and in accordance with these Terms.

10.2 You must not misuse the Platform, including by:

  • scraping content
  • interfering with systems
  • misrepresenting your business

10.3 DELLI may suspend or restrict access for misuse or breach.

11. SUSPENSION AND TERMINATION

11.1 DELLI may suspend or terminate your access where:

  • these Terms are breached
  • fraudulent or unlawful activity is suspected
  • continued access poses platform risk

11.2 Termination does not affect existing contracts between you and Makers.

12. LIABILITY

12.1 Nothing in these Terms limits liability where exclusion would be unlawful.

12.2 To the maximum extent permitted by law:

  • DELLI is not liable for products, fulfilment, delivery, or Maker conduct
  • DELLI’s total liability arising from Platform use is limited to £100 or fees paid by you to DELLI in the preceding 12 months (if any), whichever is higher

13. GOVERNING LAW

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
